Label IQ AI – Terms of Service (Website & Platform)

Entity: Label IQ AI, Inc. ("Label IQ AI," "we," "us," or "our")
Scope
These Terms of Service ("Terms") govern your access to and use of labeliq.ai, app.labeliq.ai, our AI music and video tools, creator dashboards, Album Token infrastructure, challenges, APIs/SDKs, and related services (collectively, the "Platform").
By accessing or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
1. Eligibility & Account Responsibility
Age. You must be at least 13 years old to use the Platform. Financial features (including tokenized campaigns and payouts) require you to be at least 18 years old and to pass applicable identity, KYC/AML, and sanctions screening.
Account accuracy. You agree to provide accurate information and to keep your credentials secure. You are responsible for all activity under your account.
Entity accounts. If you use the Platform on behalf of an organization, you represent that you have authority to bind that entity.
2. Platform Services
Label IQ AI provides:
AI-powered music and video generation tools
Creator publishing and campaign pages
Album Token and programmable revenue-split infrastructure
Fan engagement features, challenges, and analytics
Web2 and Web3 payment rails as disclosed in-product
APIs and SDKs for approved developers
We may add, modify, suspend, or discontinue features at any time. Some features may be labeled Beta or Experimental and may be unstable.
3. Pricing, Credits, Fees & Taxes
Credits. Credits license compute and services on the Platform, have no cash value, are non-refundable once used, and may expire if disclosed.
Usage fees.** Usage-based pricing is displayed in-product and may vary by feature, region, or promotion.
Campaign & transaction fees. Platform fees, payment processor fees, and network fees apply as disclosed at the time of the transaction.
Subscriptions. Subscription plans renew automatically until canceled. We provide a compliant online cancellation method.
Taxes. You are responsible for applicable taxes. We may collect or withhold taxes as required by law.
Chargebacks & setoff. You authorize us to recover chargebacks or amounts owed from your balances or future payouts.
4. Content, Ownership & Licenses
Your content. You retain ownership of content you upload or generate, subject to third-party rights.
License to Label IQ AI. You grant us a non-exclusive, worldwide, royalty-free license to host, process, display, distribute, and promote your content solely to operate and market the Platform.
AI outputs. AI-generated outputs are provided to you subject to these Terms and applicable law. You are responsible for verifying rights, accuracy, and lawful use.
Feedback. You grant us a perpetual, royalty-free license to use feedback or suggestions without obligation.
5. AI Systems, Synthetic Media & Likeness
Label IQ AI uses proprietary orchestration and licensed third-party AI models.
We do not train foundation models on private, non-public user content without explicit opt-in.
You may not use the Platform to impersonate others or use a person’s voice or likeness without lawful consent.
We may label AI-generated media and apply visible or invisible watermarks.
6. Album Tokens, Royalties & $DMCAI Disclosures
Nature. Album Tokens represent creator-defined, project-level royalty participation and are not equity, debt, or ownership interests in Label IQ AI.
No advice. Nothing on the Platform constitutes investment, legal, or tax advice. Label IQ AI is not a broker-dealer or investment adviser.
Compliance controls. We may impose geographic, identity, or transaction limits to comply with applicable laws.
Risks. Tokenized features involve risk, including volatility, technical failures, and regulatory changes.
$DMCAI. $DMCAI is a platform utility token used for access, rewards, or features and is not legal tender or a deposit.
7. Wallets, Custody & Payouts
We may support non-custodial wallets and custodial solutions through partners.
Custodial assets are not bank deposits and are not insured.
On-chain transactions are irreversible.
Payout methods, timing, and thresholds are disclosed in-product.
8. Community, Challenges & Promotions
Participation in challenges is subject to official rules. We may verify entries, disqualify violations, and use submitted content for promotion.
9. Acceptable Use Policy
You may not use the Platform to violate law, infringe rights, engage in fraud, create harmful or abusive content, manipulate campaigns or markets, scrape or overload systems, or misuse AI for surveillance or biometric identification.
10. Third-Party Services & Open Source
The Platform relies on third-party services (payments, KYC, cloud, AI models) governed by their own terms. Open-source components are subject to applicable licenses.
11. Copyright (DMCA)
We respond to valid copyright takedown notices and may terminate repeat infringers. Notices should be sent to hi@labeliq.ai
12. Moderation & Enforcement
We may remove content, suspend accounts, or freeze payouts to enforce these Terms or comply with law. Appeals may be submitted through support.
13. Disclaimers & Limitation of Liability
The Platform is provided AS IS and AS AVAILABLE. To the maximum extent permitted by law, our total liability is limited to the greater of amounts you paid in the prior 12 months or USD $100.
14. Indemnification
You agree to indemnify and hold harmless Label IQ AI from claims arising from your content, campaigns, or violation of these Terms.
15. Governing Law & Dispute Resolution
These Terms are governed by Delaware law. Disputes are resolved through binding arbitration, with limited exceptions, and no class actions.
16. Changes & Contact
We may update these Terms with notice. Continued use constitutes acceptance.
